Convisia LLC Terms and Conditions for Programme Participation

Please read carefully. By registering for or attending any programme offered by Convisia LLC, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not register or attend.
1) About Convisia
Convisia LLC is a New York limited liability company represented by its sole member, Dr. Constanze Quosh. Convisia offers Women’s Circle programmes and related personal development services delivered in virtual (online) and in-person formats. The services are designed for adult women seeking a supported space for reflection, connection, and personal growth.
2) Scope of These Terms
These Terms and Conditions (“Terms”) apply to all persons (“Participant”) who register for, purchase access to, or attend any programme, session, or service offered by Convisia LLC (“Convisia”, “we”, “us”). By completing a booking or registration — whether via our website, email, or any other channel — you enter into a binding agreement with Convisia on these Terms. Programme-specific details (schedule, number of sessions, duration, fees, and payment due date) are communicated separately in the programme confirmation. In the event of any conflict between these Terms and a programme confirmation, the programme confirmation takes precedence.
3) Registration and Booking
To participate in a Convisia programme you must:
- Be at least 18 years old and legally capable of entering into a contract.
- Complete the registration process and, where required, sign the Participant Agreement.
- Pay the applicable programme fee in full by the due date stated in your programme confirmation.
A booking is confirmed only upon receipt of your payment and, where applicable, your signed Participant Agreement and Waiver. Convisia reserves the right to decline any registration at its sole discretion without being required to give reasons.
Accepted payment methods include credit/debit card (via WooPayments/Stripe), ACH bank transfer, and Venmo (US domestic participants only). All fees are denominated in US Dollars (USD) unless clearly stated otherwise. For events and programmes priced in Euros (€) or another currency, the applicable currency and amount will be clearly stated on the booking page before payment is taken. Any foreign exchange charges, bank fees, or local taxes arising on the Participant’s side are the Participant’s sole responsibility.
4) Fees and Payment
Programme fees are set out on the Convisia website and/or in the programme confirmation. Fees are due no later than the day before the first session of the programme unless otherwise agreed in writing. Convisia reserves the right to change its fees at any time. Any change will not affect a booking that has already been confirmed and paid. Note: Convisia does not issue VAT invoices at this time. A payment confirmation will be sent to the email address provided at registration.
5) Cancellation and Refund Policy
Important: Please read this section carefully before booking. Fees are generally non-refundable once a programme begins. Refunds are only available in the limited circumstances set out below.
5.1 Cancellation by the Participant — Before the Programme Starts
If you cancel your participation before the first session of a programme, the following applies:
- Cancellation more than 14 days before the first session: full refund, less any payment processing fees.
- Cancellation 8–14 days before the first session: 50% refund of the programme fee.
- Cancellation 7 days or fewer before the first session: no refund.
Cancellations must be made in writing to the email address listed in Section 17. The date of receipt of your written cancellation notice is the relevant date.
5.2 Cancellation by the Participant — After the Programme Has Started
Once a programme has started, fees paid are non-refundable, regardless of the reason for non-attendance (including illness, change of personal circumstances, or any other cause). This policy reflects the group nature of the programme and the advance preparation undertaken by Convisia.
5.3 Individual Session Cancellation by Participant
Programmes are sold as complete units. If you miss one or more sessions within an ongoing programme, no partial refund or credit is available for the sessions missed. Where operationally feasible and at Convisia’s sole discretion, a missed session may be made up; however, this is not guaranteed.
5.4 Cancellation or Rescheduling of a Session by Convisia
If Convisia cancels or is unable to deliver an individual session (for any reason), Convisia will make reasonable efforts to reschedule the session within four (4) weeks. If Convisia is unable to reschedule within that period, the pro-rated value of the affected session(s) will be refunded to the Participant.
Refunds will be issued using the original payment method within 10 business days.
5.5 Programme Cancellation by Convisia
In the event that Convisia permanently cancels an entire programme before it commences, Participants who have paid will receive a full refund of the programme fee. If a programme is permanently cancelled after it has commenced, a pro-rated refund will be issued for the remaining unused sessions.
Convisia is not liable for any other costs or losses incurred by the Participant as a result of a programme cancellation (such as travel, accommodation, or lost earnings).
5.6 Force Majeure
If a session or programme cannot be delivered due to circumstances beyond Convisia’s reasonable control — including but not limited to pandemic, natural disaster, government restriction, or internet/platform outage — Convisia will endeavour to reschedule. If rescheduling is not feasible, a pro-rated refund for the affected session(s) will be issued.
If the Participant cannot attend due to a force majeure event affecting them personally, no refund will be issued. This reflects the group-commitment nature of the circle model.
5.7 Refund Processing
All refunds are issued in USD to the original payment method. Processing times depend on the payment provider but are typically 5–10 business days. Convisia is not responsible for exchange rate fluctuations or international transfer fees applicable to the refunded amount.
6) Nature of Services — Important Notice
Not therapy or medical treatment. Women’s Circle programmes are personal development and community support services. They are not a substitute for professional medical, psychological, psychiatric, or therapeutic care. If you are experiencing a mental health crisis or acute distress, please seek professional support before or instead of participating. Convisia does not represent or warrant that participation will result in any specific outcome. Results vary between individuals. The facilitation provided is based on the facilitator’s training and professional experience but does not constitute clinical advice or treatment.
7) Participant Eligibility and Responsibilities
By registering and attending, you confirm that you:
- Are at least 18 years of age.
- Are in a mental and physical condition suitable for participation.
- Understand the nature of Women’s Circle programmes as described in Section 6.
- Will attend sessions in a private, quiet space (for virtual participants) or on time at the designated venue (for in-person participants).
- Will not record, photograph, or screenshot any part of a session without prior written permission from Convisia.
- Will maintain confidentiality regarding other participants’ contributions.
8) Code of Conduct
All Participants are expected to engage respectfully and constructively. You agree to:
- Treat all participants and the facilitator with dignity and respect.
- Avoid discriminatory, abusive, harassing, or disruptive behaviour.
- Follow all instructions given by the facilitator during sessions.
- Refrain from alcohol consumption immediately before or during sessions.
Convisia reserves the right to remove any Participant from a programme — without refund — if their behaviour is deemed disruptive, harmful to other participants, or in breach of this Code of Conduct. The determination of what constitutes a breach rests solely with Convisia.
9) Confidentiality
All personal information, stories, and discussions shared within the circle are strictly confidential. You agree not to share, disclose, or discuss any other participant’s contributions outside the session. This obligation survives the end of the programme indefinitely. Convisia may be required to break confidentiality only in the following limited circumstances: (a) where you have authorised disclosure; (b) where there is a reasonable belief of danger to yourself or others; (c) where there are reasonable suspicions of abuse or neglect; or (d) where required by a court of competent jurisdiction.
10) Intellectual Property
All written materials, exercises, recordings, session content, and resources provided by Convisia are the exclusive intellectual property of Convisia LLC and are protected by copyright. You may use these materials solely for your personal, non-commercial use as part of the programme. You may not reproduce, distribute, publish, sub-license, or otherwise use Convisia’s materials for any commercial purpose without prior written consent.
11) Limitation of Liability
To the fullest extent permitted by applicable law, Convisia LLC, its members, officers, agents, and contractors shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with your participation in any programme, including but not limited to emotional distress, loss of earnings, or any other intangible loss. Nothing in these Terms limits or excludes Convisia’s liability for death or personal injury caused by gross negligence, recklessness, or intentional misconduct, or for any other liability that cannot be excluded under applicable law. For Participants located in the EU/EEA or UK: your statutory consumer rights are not affected by these Terms. Nothing herein prevents you from relying on mandatory consumer protection provisions applicable in your country of residence.
12) Media and Data Use
Facilitator-led portions of sessions (such as meditations, teachings, and structured exercises) may be recorded by Convisia. Participant contributions (verbal or visual) will not be recorded to protect confidentiality, except where you have given separate written consent. Where Convisia wishes to use your image, voice, or a quote attributed to you for promotional or marketing purposes, your specific written consent will be sought via the Participant Media and Data Use Consent Form (Part E of the Participant Agreement). Participation in a programme does not constitute consent to promotional use.
13) Data Protection
Convisia processes personal data in accordance with its Privacy Policy, which is published on the Convisia website. The Privacy Policy describes how data is collected, used, stored, and transferred — including the legal bases relied upon for processing, your rights as a data subject, and how to exercise those rights. For Participants in the EU/EEA or UK, data transfers to the United States are covered by appropriate safeguards as described in the Privacy Policy.
14) Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. For Participants located in the EU/EEA or UK: notwithstanding the foregoing, nothing in this clause prevents you from relying on mandatory consumer protection laws applicable in your country of habitual residence, and you retain the right to bring proceedings in the courts of that country.
15) Dispute Resolution
If a dispute arises out of or in connection with these Terms, the parties agree to first attempt to resolve it in good faith through informal discussion or mediation. If a dispute cannot be resolved within 30 days of written notice, either party may bring proceedings in a court of competent jurisdiction. Small claims: either party may bring a qualifying claim in the small claims division of the Civil Court of the City of New York without first engaging in mediation. EU/EEA Participants: The European Commission provides an Online Dispute Resolution (ODR) platform for consumers at https://ec.europa.eu/consumers/odr. Convisia is not obliged to participate in ADR proceedings but will consider any complaint submitted.
16) Amendments
Convisia reserves the right to amend these Terms at any time. Material changes will be communicated to registered Participants by email with reasonable advance notice. Your continued participation in any programme after the effective date of an amendment constitutes acceptance of the revised Terms. The current version of these Terms is always available on the Convisia website. The effective date and version number are shown at the top of this document.
17) Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
